Terms of Service

These Terms govern your access to and use of the Cadet Portfolio platform. By using the platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Cadet Portfolio platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately discontinue use of the Platform. These Terms constitute a legally binding agreement between you and Cadet Portfolio LLC ("Cadet Portfolio," "we," "us," or "our").

Your continued use of the Platform following any changes to these Terms constitutes your acceptance of such changes. We reserve the right to modify these Terms at any time, and such modifications will become effective upon posting to the Platform.

2. Platform Purpose and Services

Cadet Portfolio provides a comprehensive digital platform for cadets, students, alumni, instructors, and administrators to manage, track, and showcase educational artifacts, assignments, achievements, certifications, readiness indicators, career pathway data, and related information in a secure, compliance-aligned environment.

The Platform is designed to support JROTC programs and similar educational initiatives, providing tools for portfolio management, progress tracking, communication, and career development planning.

3. User Accounts and Eligibility

Account Registration

To access certain features of the Platform, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security and confidentiality of your login credentials
  • Accept all responsibility for activities that occur under your account
  • Immediately notify us of any unauthorized access or security breach

Authorized Users

The Platform is available to authorized users including cadets, students, alumni, instructors, educational leadership, program administrators, and other approved personnel. Access is granted based on your role and affiliation with participating institutions or programs.

Prohibited Activities

You agree not to:

  • Use automated systems (bots, scrapers, crawlers) to access the Platform without authorization
  • Attempt to probe, scan, or test the vulnerability of the Platform or breach security measures
  • Circumvent any access controls, authentication mechanisms, or usage restrictions
  • Impersonate any person or entity, or falsely represent your affiliation
  • Share your account credentials with unauthorized individuals
  • Use the Platform for any unlawful purpose or in violation of applicable laws or regulations

4. Data Privacy and Protection

Your privacy is important to us. Our collection, use, storage, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.

We implement security measures aligned with applicable federal and state regulations, including:

  • The Family Educational Rights and Privacy Act (FERPA)
  • The Privacy Act of 1974 (5 U.S.C. ยง 552a)
  • Department of Defense Privacy Program (32 CFR Part 310)
  • Department of Defense Security Requirements and applicable DFARS provisions
  • NIST Special Publication 800-171 security controls

We apply least-privilege access controls, encryption in transit and at rest, audit logging, and continuous monitoring to protect your information.

5. Acceptable Use Policy

You agree to use the Platform in a responsible and lawful manner. Prohibited uses include, but are not limited to:

  • Uploading, posting, or transmitting any malicious code, viruses, worms, or other harmful software
  • Engaging in any form of harassment, bullying, threats, or abusive behavior toward other users
  • Posting or sharing content that is unlawful, defamatory, obscene, or violates any third-party rights
  • Attempting to gain unauthorized access to other users' accounts, data, or system resources
  • Exporting or transmitting controlled or sensitive data except as specifically authorized
  • Using the Platform in any manner that could damage, disable, overburden, or impair our servers or networks
  • Interfering with any other user's ability to use and enjoy the Platform
  • Collecting or harvesting any personally identifiable information from the Platform without authorization

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and may be reported to appropriate authorities.

6. Intellectual Property Rights

Platform Ownership

The Platform, including its software, user interface, design, workflows, proprietary logic, trademarks, logos, and all related intellectual property, is owned by Cadet Portfolio LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.

User Content

You retain ownership of all content, materials, and information that you upload, submit, or post to the Platform ("User Content"). By submitting User Content, you grant Cadet Portfolio a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute your User Content solely for the purpose of operating, maintaining, and improving the Platform and providing services to you.

You represent and warrant that you own or have the necessary rights to all User Content you submit and that such content does not violate any third-party rights or applicable laws.

Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Platform
  • Reverse engineer, decompile, or attempt to extract source code from the Platform
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Use the Platform to develop competing products or services

7. Security and Vulnerability Disclosure

The security of the Platform is a top priority. We maintain robust security measures and conduct regular security assessments to protect user data and system integrity.

Prohibited Security Testing: You are expressly prohibited from conducting any penetration testing, vulnerability scanning, security testing, or other security assessments of the Platform without prior written authorization from Cadet Portfolio.

Responsible Disclosure: If you discover a security vulnerability or issue, please report it immediately to support@cadetportfolio.zendesk.com. We appreciate responsible disclosure and will work with you to address legitimate security concerns.

8. Service Availability and Modifications

We strive to maintain continuous availability of the Platform, but we do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, technical difficulties, or circumstances beyond our control.

We reserve the right to:

  • Modify, suspend, or discontinue any feature or aspect of the Platform at any time
  • Impose usage limits or restrictions on certain features
  • Update system requirements or technical specifications
  • Apply critical security updates or patches without advance notice when necessary to maintain compliance or address security vulnerabilities

We will make reasonable efforts to provide advance notice of material changes that significantly affect your use of the Platform, except where immediate action is required for security, legal compliance, or system stability reasons.

9. Payment Terms and Access Tiers

Access to the Platform is managed through institutional agreements, contract vehicles (such as GSA 8(a) STARS III), or direct subscriptions. Specific access tiers, features, and pricing are determined by your institution's agreement with Cadet Portfolio.

Payment Obligations: If you are responsible for payment, you agree to pay all applicable fees according to the payment terms specified in your agreement. Fees are non-refundable except as expressly stated in your agreement or required by law.

Non-Payment: Failure to pay applicable fees may result in suspension or termination of your access to the Platform. We reserve the right to charge late fees and pursue collection of unpaid amounts.

Automatic Renewal: Subscriptions may automatically renew at the end of each term unless you cancel prior to the renewal date. You will be notified of upcoming renewals and any changes to pricing.

10. Termination of Access

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any of the following reasons:

  • Violation of these Terms or our Acceptable Use Policy
  • Fraudulent, abusive, or illegal activity
  • Security risk or threat to the Platform or other users
  • Legal or regulatory requirement
  • Non-payment of applicable fees
  • Prolonged inactivity as defined by our data retention policy
  • Termination of your institution's agreement with Cadet Portfolio

Upon termination, your right to access and use the Platform immediately ceases. We may retain certain information as required by law or for legitimate business purposes, as described in our Privacy Policy.

You may terminate your account at any time by contacting us at support@cadetportfolio.zendesk.com. Termination does not relieve you of any obligations incurred prior to termination.

11. Disclaimers and Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CADET PORTFOLIO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
  • WARRANTIES OF UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED

We do not warrant that the Platform will meet your specific requirements or that the operation of the Platform will be interrupted or error-free. You assume all responsibility for your use of the Platform.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CADET PORTFOLIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or use
  • Business interruption or loss of goodwill
  • Cost of procurement of substitute services
  • Any damages arising from your use of or inability to use the Platform

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU (OR YOUR INSTITUTION ON YOUR BEHALF) TO CADET PORTFOLIO DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

These limitations apply regardless of the legal theory on which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Cadet Portfolio, its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Platform
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property rights or privacy rights
  • Any User Content you submit or post to the Platform
  • Your negligence or willful misconduct

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

14. Changes to Terms

We reserve the right to modify or update these Terms at any time. When we make material changes, we will notify you by:

  • Posting the updated Terms on the Platform with a revised "Last Updated" date
  • Sending notice to the email address associated with your account (when practicable)
  • Displaying a prominent notice on the Platform

Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Platform.

We encourage you to review these Terms periodically to stay informed of any updates.

15. Governing Law and Dispute Resolution

Governing Law

These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the State of Georgia and applicable United States federal law, without regard to conflict of law principles. When the Platform is provided under a federal government contract, applicable federal regulations and contractual provisions may supersede state law.

Jurisdiction and Venue

Any legal action or proceeding arising out of or relating to these Terms or the Platform shall be brought exclusively in the federal or state courts located in Georgia, and you consent to the personal jurisdiction of such courts.

Dispute Resolution

Before filing any formal legal action, you agree to first attempt to resolve any dispute informally by contacting us at support@cadetportfolio.zendesk.com. We will work in good faith to resolve disputes promptly and fairly.

16. Miscellaneous Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published on the Platform, constitute the entire agreement between you and Cadet Portfolio regarding your use of the Platform and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Cadet Portfolio.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms or delegate any of our obligations without your consent.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
